Merkur has agreed to pay an effective price of €6.19 per SFC share for the stake, representing a substantial premium over recent market valuations. 

The premium reflects both the control premium paid to the sellers and Merkur’s valuation for majority ownership.

As Merkur’s acquisition of Casigrangi would grant indirect control over SFC, French regulations require Merkur to launch a simplified mandatory tender offer for the remaining SFC shares it does not already hold.

Its exclusivity reportedly runs to 2036 under an unpublished 2016 convention with the state. The commercial operation is run under a tendered management contract rather than a licence. Unauthorised gaming houses and lotteries are criminal offences under articles 282 to 285 of the penal code.

MDJS has turned to the courts to challenge offshore betting. On 12 January the Casablanca commercial court, sitting in summary proceeding, ordered Maroc Telecom, Orange Maroc and Inwi to block 19 named betting sites and local payment intermediaries. Non-compliance carried a penalty of MAD10,000 a day.

Medias24 reported the judge’s reasoning: “Internet access providers are technically the only parties able to end the manifestly unlawful disturbance resulting from access to unauthorised betting sites.”

The VGT dispute and construction reset are the latest chapters in a long and bumpy road for Bally’s since winning Chicago’s sole casino licence in 2022. Work has been halted for debris overflow and for unapproved contractors, and the company faced an $800 million funding gap that was eventually filled through a financing agreement with Gaming and Leisure Properties. Potential interference with city water lines also necessitated a significant redesign of the hotel plan.

At one point, the IGB ordered a temporary work stoppage at Bally’s permanent casino following reports of alleged ties between an unapproved dumpster service with organised crime.

Bally’s has been granted two years’ worth of extensions for the permanent project. State law allows for two-year temporary licences, but the Illinois Gaming Board approved an extension to three years in 2023. That pushed the deadline to this September, but Bally’s ultimately received another year’s worth of extensions through language included in the state’s omnibus revenue bill that was passed in June.
